4. How To Enter
To enter the Competition, Entrants must complete all the following steps before the end of the Entry Period:

b) Upload the Submission to the Entrant’s own public TikTok account;
c) Include #ShaunTheSheep3 tags in the Submission description
5. Submission Guidelines
Each Entrant must comply with, and must ensure that their Submission complies with, the following guidelines (“Submission Guidelines”):
a) Submissions should demonstrate why the Entrant is a top Shaun the Sheep fan. This could include, but is not limited to:

c) Submissions must be limited to a strict maximum of three (3) minutes in duration.
d) Submissions may include characters from the Shaun the Sheep TV series and movies (“Shaun the Sheep Characters”).
e) Submissions may include other characters created by the Entrant, but only if created by the Entrant specifically for the Competition and only if such characters have not been copied or appeared elsewhere.
f) Submissions must not be, nor contain any, material which is or may reasonably be considered to be, threatening, defamatory, obscene, indecent, offensive, pornographic, abusive, liable to incite racial hatred, discriminatory, menacing, inflammatory, in breach of confidence or otherwise unlawful.
g) Submissions must not include any confidential information or personal information concerning any person (such as (but not limited to) addresses or financial details).
h) Submissions must not show anyone under the age of 18 visibly on screen but may include voiceovers/their voices in the background provided that the prior express consent of such individual’s parent or guardian has been obtained.
i) Entrants must have the written prior consent of anyone featured in the Submission to include them in the Submission (or the consent of the applicable parent/guardian in the case of under-18s – see sub-section h) above).
j) Submissions must not include any content created by artificial intelligence, generative art, and/or any similar AI/generative technologies.
k) Submissions must not include any third-party branding, third-party logos, and/or any other third-party intellectual property of whatever kind.
l) Submissions may include background sounds/music only to the extent enabled by, and subject always to the rules/restrictions of use of, TikTok “sounds”, but may not feature any other soundtrack, music, and/or other background sound/s.
m) Except for the inclusion of Shaun the Sheep Characters, each Submission must be the Entrant’s own original work and must not be copied, or include elements copied, from someone else’s work.
n) Submissions must be created specifically for the Competition. Submissions must not be and must not have been prior to the Competition: (i) submitted in relation to any other competition, promotion or activity; (ii) published, broadcast or displayed online or in any other media; or (iii) nominated for or granted any awards.
o) By providing a Submission, each Entrant warrants (i.e. promises) that all elements of the Submission are their own original work (except for the inclusion of Shaun the Sheep Characters) and that the use of the Submission for the purposes described in these Rules will not infringe the intellectual property rights (or any other rights) of any person or organisation.
p) By entering the Competition, each Entrant warrants (i.e. promises) that he or she has the right and authority to enter the Competition, to accept the Prize, and to enter into the Winner’s Agreement (see section 11 below), and that by doing so they will not be in breach of any agreement with or obligation to a third party.
q) By entering the Competition, each Entrant warrants (i.e. promises) that they have not done anything or made any public statement (oral or in writing) – nor will they do such things – that could reasonably be regarded as derogatory or disparaging of Aardman or its products or services.
r) By entering the Competition, each Entrant warrants (i.e. promises) that he or she knows of no information, facts or circumstances related in any way to the Entrant that could reasonably be considered as damaging or embarrassing to Aardman by virtue of the association between Aardman and the Entrant arising from entry into the Competition.
6. Review of Submissions
a) Submissions will be reviewed for compliance with the Submission Guidelines.
b) If a Submission complies with the Submission Guidelines, Aardman may (but shall not be obliged to) include the Submission (in full or in part) in an Aardman-produced YouTube video, or a post on any other Aardman brand or character social media channel or platform, showing the highlights of the Competition.
c) Aardman reserves the right to disqualify any Submission if the Submission does not comply with the Submission Guidelines at section 5 above or does not satisfy the criteria in the “Eligibility” section at section 3 above. Aardman accepts no responsibility for Submissions that are not successfully submitted or received for any reason.
7. Prize
a) There will be one winner of the Competition (“Winner”).
b) The Winner will have a likeness of their image made into an Aardman puppet, which will appear in a scene of the film (“Film”) entitled “Shaun the Sheep: The Beast of Mossy Bottom” (“Prize”).
c) Aardman may – but is not obliged to – hold a short creative discussion with the Winner relating to the creation of the puppet featuring the Winner’s likeness (“Puppet”), but the Winner agrees that all creative elements of the Prize will be decided at Aardman’s sole discretion, including but not limited to (i) the ‘look and feel’ of the Puppet, (ii) the particular scene and setting in which the Puppet is featured, (iii) the duration and prominence of the Puppet’s appearance in the Film, and (iv) any and all other creative decisions relating to the Puppet and the Film. [WLLP1] [LS2] [KE3]
8. Prize Conditions
The Prize is non-transferable, non-refundable, non-exchangeable and no cash alternative is available. If Aardman considers it appropriate, or if it becomes necessary for reasons beyond Aardman’s control, the Prize may be varied or swapped for a suitable alternative in Aardman’s discretion.
9. Winner Selection
a) All complete, correct and eligible Submissions (“Qualifying Submissions”) will be assessed at a first stage by reference to their performance on the TikTok platform with reference to the specific metric of the highest number of views at the end of the Entry Period. This data will be supplied by TikTok to Aardman.
b) The top 20 performing Qualifying Submissions – determined using the metrics described above – will be shortlisted (forming the “Shortlist”).
c) The Winner will be selected from the Shortlist by a panel of three competent judges comprising one judge from Aardman (whose name will be provided by Aardman on request); Andrew Orr, Head of Originals at Sky Cinema; and Morgan M James, an independent TikTok Creator (TikTok handle @morganmjames).
d) The Shortlisted Submissions will be graded on a scale of one (1) to five (5) on originality, creativity, entertainment value, and demonstrable love of Shaun. All of the judges’ scores on each of these criteria will then be combined to produce the Winner as the Entrant posting the Submission with the highest collective score.
e) In the event of a tie between Entrants, the independent TikTok Creator will have the deciding vote.
10. Winner Notification
a) The Winner will be notified via direct message on the TikTok account used to submit their Competition Submission within thirty (30) working days following the end of the Entry Period.
b) Aardman will make reasonable efforts to contact the Winner, but it is the Winner’s responsibility to monitor the relevant TikTok account including message request folders, for receipt of the notification.
c) The Winner will also be announced via a social media post on the Shaun the Sheep TikTok account (@shaunthesheepofficial) as soon as reasonably practicable after the Winner has confirmed receipt of the notification and has accepted the Prize by completing the process and steps described in section 11 below.
11. Accepting the Prize and Winner’s Agreement
a) The Winner must accept the Prize by completing and returning a full release agreement in the form provided by Aardman (the “Winner’s Agreement”) duly signed by the Entrant within 14 days of the date of the initial win notification. In order for Aardman to send the Winner’s Agreement, and receive the signed copy in return, the Winner must promptly provide an email address for Aardman to use for this purpose.
b) The Winner’s Agreement will require the Winner to confirm and acknowledge (among other things): (i) their eligibility for the Competition; (ii) their agreement to these Rules; (iii) the Entrant’s grant of rights set out below; (iv) that they have obtained all consents and permissions necessary for the purposes of the Competition; and (v) Aardman’s rights to the Shaun the Sheep Characters.
c) Failure to sign and return the Winner’s Agreement by the applicable deadline may result in the Prize being forfeited and the selection of an alternative winner. Alternative winners will be selected and notified as set out above and must accept their Prize following the process described above within 14 days of the win notification.
12. Use of Shaun the Sheep Characters and your Submission
a) Each Entrant acknowledges and agrees that all copyright, trade marks and other intellectual property rights in and to the Shaun the Sheep Characters are owned by Aardman.
b) Aardman hereby grants to each Entrant a non-exclusive, limited, revocable licence to use and reproduce the Shaun the Sheep Characters solely to the extent necessary to create the Submission for the Competition.
c) Each Entrant agrees that they shall not, and shall not permit or allow anyone else to, publish, broadcast, display or otherwise use their Submission or any of the Shaun the Sheep Characters for any purpose other than as necessary to facilitate entry into the Competition.
13. Your Grant of Rights to Us
a) By entering the Competition, and in consideration of the opportunity to win the Prize, each Entrant:
· agrees that Aardman shall be entitled (but not obliged), in perpetuity, to include their Submission (in full or in part) in an Aardman-produced YouTube video, or a post on any other Aardman brand or character social media channel or platform, showing the highlights of the Competition.
· agrees that, if the Entrant is the Winner, Aardman shall be entitled (but not obliged) to announce their name and feature their Submission on Aardman’s websites, social media and other channels in perpetuity;
· grants to Aardman a non-exclusive, perpetual, irrevocable, worldwide licence to use (and to grant a sub-license to Aardman’s associated and group companies and other third parties to use) their Submission for the purpose of administering the Competition, for internal business purposes, for publicity purposes connected with the Competition and for general advertising, marketing and PR purposes. This licence includes (without limit) the right to edit, modify and adapt the Submission, to incorporate the Submission into or combine it with other materials, and to publish, broadcast or otherwise display the Submission in any media, including on Aardman’s websites, social media and other channels;
· hereby waives all, and agrees not to assert any, moral rights to which the Entrant may now or at any future time be entitled anywhere in the world in respect of the Submission, including under the Copyright, Designs and Patents Act 1988 as amended from time to time and any similar or equivalent laws, regulations, rules or conventions;
· agrees (without further reward) to take part in reasonable publicity connected with the Competition; and
· at their own expense, agrees to promptly execute and deliver such documents and perform such acts as may reasonably be required for the purpose of giving full effect to these Rules.
14. Our Liability to You
a) Nothing in these Rules limits or excludes, or seeks to limit or exclude, Aardman’s liability for (i) death or personal injury caused by its negligence, (ii) fraud or fraudulent misrepresentation, or (iii) any other matter for which liability cannot be limited or excluded by law including your statutory rights as a consumer.
b) Subject always to sub-section a) above, Aardman will not be liable for:
· any loss or damage the Entrant may suffer or incur as a result of the Entrant’s participation in the Competition and/or acceptance or use of (or failure or inability to accept or use) the Prize (or any part);
· any loss or damage caused by a third party who is not acting on behalf of or under the direct instructions of Aardman;
· any loss or damage caused by any event or circumstance beyond Aardman’s reasonable control;
· any loss of profits or revenue, loss of anticipated savings or loss of goodwill;
· any action taken by Aardman under or in accordance with these Rules; and/or
· any unavailability of Aardman’s websites, apps or social media accounts.
15. Third Parties / No Endorsement
a) The Competition is in no way sponsored, endorsed, administered by or associated with TikTok or any other third party.
b) Use of and entry via TikTok is always subject to the rules, terms and policies of TikTok. Find more information on the platform’s terms and conditions here: https://www.tiktok.com/legal/page/us/terms-of-service/en.
c) All third-party trade marks and other intellectual property rights are hereby acknowledged.
d) By participating in the Competition, Entrants agree that they are providing their information to Aardman, not to any third party.
e) To the maximum extent permitted by applicable law, neither TikTok nor any other third party shall have any liability to any person or company in connection with or arising out of the Competition howsoever caused, including for any costs, expenses, damages and other liabilities.
16. Cancellation and Variation
Aardman reserves the right to vary, suspend or cancel the Competition if it considers (acting reasonably) that it necessary or appropriate to do so, including if there is any actual or anticipated breach of applicable law or if variation, suspension or cancellation is necessary due to an event outside Aardman’s reasonable control.
17. Disqualification
a) Without limiting the options available to Aardman, Aardman reserves the right at any time to disqualify Submissions and/or Entrants that Aardman determines (acting reasonably) as being in breach of these Rules, any applicable laws, any terms and conditions referred to in these Rules, or the spirit of the Competition.
b) In the event of disqualification of a Winner, the Prize may be awarded to the next highest scoring Entrant drawn from the Shortlist.
18. Interference with the Competition
Any attempt to damage or undermine the content or legitimate operation of the Competition is prohibited and may also be a violation of criminal and/or civil laws. Aardman reserves all its rights and remedies to deal with breaches or suspected breaches of this rule including, without limitation, to exclude any Entrant or Winner believed to be associated with such activity.
19. Disclosure of Winner’s Details
a) By entering the Competition, each Entrant acknowledges that, if they win the Competition, their surname and county of residence may be disclosed to persons enquiring, where permitted by law and subject to sub-section b) below.
b) Any Entrant may object to their information being made available in this way, or may request that the amount of information made available be reduced, by contacting Aardman using the contact details at the end of these Rules. In these circumstances, the Entrant acknowledges that Aardman may nevertheless disclose the relevant information, and the Entrant’s Submission, to the Advertising Standards Authority (and/or any other competent authority) if required to do so. By way of example, this may happen where Aardman is required to demonstrate that it has awarded any advertised prizes.
